What is happening to my PC???

Ok, my new PC is freezing. I have Vista Ultimate x64 installed, but this is definately not the problem (windows XP x32 on a different HDD froze as well). It freezes during heavier activities like loading windows or installing programs, but if left in windows on idle will eventually freeze anyway. In BIOS internal temperatures are below 55 degrees after each crash, and I have run a windows memory test with no errors found (although the PC worked for longer afterwards). I'm sure it's a hardware problem, because both vista and XP have frozen, but what is to blame? I have been told by a professional that it's probably the CPU but I'm not sure. The specs are:

(Quad-core 2.4Ghz Q6600, BFG OC 8800 Ultra, Asus P5N-T Deluxe, WD Raptor 150GB (OS), Seagate Barracuda 500GB, 1200W Toughpower PSU, Gigabyte 3D aurora case, Windows Vista Ultimate x64 with latest updates)

So what is happening to my PC?

Have you checked the event managers to see if there is anything in them to suggest the freeze ups? Make sure everything is seated properly. Reseat the memory just incase. Make sure your antivirus and spyware are up to date and check for that. Hope that helps.
